Associate Attorney
Corporate Practice Group

The leading western suburban law firm has an immediate need for an attorney to join its Corporate Practice Group. 

This is an ideal position for a candidate who wants to develop a sophisticated practice in a collegial environment which also
provides ongoing business development training. 

The ideal candidate will have 0-3 years of experience.  The ideal candidate would have knowledge related to mergers, acquisitions, divestitures, debt and equity offerings, restructurings, entity selection and formation, general corporate matters and sophisticated commercial contract work. 

Candidates should also possess a strong work ethic, be detail oriented and have a desire for autonomy and significant client/matter responsibility while leading teams on projects.

Trust and Estate Administration Paralegal
Trust and Estate Practice Group

We are currently searching for highly motivated, team-orientated candidate interested in joining the largest DuPage County law firm as a Trust and Estate Paralegal. Tax background will be useful to this role.
The successful candidate will be organized, detail-oriented, possess excellent writing and numeric skills, maintain strict confidentiality, and display a passion for delivering outstanding results and service on a consistent basis.

ESSENTIAL DUTIES & PERFORMANCE RESPONSIBILITIES
To perform this job successfully, an individual must be able to perform each of the following essential promptly and accurately. Other duties may be assigned.

Specific tasks include:
Reviewing client estate planning documents for post-death administration of estates and trusts.
Preparing court pleadings to open and close probate estates.
Preparing trust and will summaries, inventories, accountings and spreadsheets.
Assisting executor/trustee with the collection, valuation and distribution of assets.
Preparing federal and state estate tax returns, gift tax returns and fiduciary income tax returns.
Preparing client memos and correspondence.
Funding marital and family trusts.

TRAINING & CERTIFICATION
Certificate in Paralegal Studies

ACQUIRED SKILLS & KNOWLEDGE
Three or more years of practical and relevant trust and estate administration experience.
Proficiency with Microsoft applications including Outlook, Word, and Excel.
Professional interpersonal skills and knowledge of business etiquette.
Strong verbal and written communication skills.

Corporate Paralegal/Legal Assistant

We are currently searching for a highly motivated, team-orientated Paralegal/Legal Assistant candidate interested in joining the largest law firm in DuPage County.

The ideal candidate will possess experience in one or more of the following areas:

Mergers and Acquisitions
Private Equity
Debt Finance
Asset Finance & Securitization
Private Funds
Investment Management

Essential Duties and Performance Responsibilities
To perform this job successfully, an individual must be able to perform each of the following essential duties satisfactorily.
Duties must be carried out promptly and accurately. Other duties may be assigned.

-File new business formation and dissolution documents
-Obtain certificates of good standing
-Complete and file SS-4 forms to obtain EINs
-Assist with all aspects of deal closings
(i.e. signature pages, closing certificates,
drafting of local, state and federal docs)
-Compile and maintain corporate minute books
-Prepare and file qualification and withdrawal applications
-Prepare stock certificates and resolutions
-Prepare and submit statutory filings
-Handle pre-closing, signature page distribution and closing of files
-Order certified copies and certificates of ‘good standing’
-Prepare and file UCC statements, amendments and termination statements
-Compose closing checklists and manage post-closing assembly and execution of documents
-Ability to work with vendors

Knowledge of and familiarity with Westlaw and Lexis programs, in addition to some knowledge of SEC filings would be a plus

Experience & Qualifications
.Minimum 3 years of corporate/transactional experience in
providing exceptionally high quality service to clients
.BA degree and paralegal certificate, preferred
